1. Scope of Agreement & B2B Commercial Nature
Welcome to aoipack.com, operated by AOIPACK Technology Co., Ltd. ("AOIPACK", "Company", "we", "us", or "our"). These Terms of Service ("Terms") set forth the legally binding terms governing your access to and use of our website, product catalogs, technical packaging calculators, and the commercial principles applied to all wholesale inquiries, sample dispatches, and export manufacturing orders.
Solely for Commercial Entities: Our website and supply solutions are exclusively intended for commercial enterprises—including food packaging importers, regional distributors, restaurant chain commissary purchasers, and private-label brand owners. We do not sell directly to retail consumers or private individuals.
2. Intellectual Property & Website Use
All content published on this website—including technical drawings, cup rim blueprints, container nesting diagrams, photographs, software code, brand graphics, and written specifications—is the exclusive proprietary property of AOIPACK or its content licensors and is protected under international copyright, trademark, and trade dress statutes.
- Permitted Use: Visitors are granted a limited, revocable, non-transferable license to browse specifications, download public dieline templates, and transmit data for genuine commercial procurement evaluation.
- Prohibited Actions: You may not scrape, frame, reproduce, reverse-engineer, or commercially exploit any proprietary structural diagrams, nesting ratio algorithms, or trademarked material without our prior written consent.
- Customer Trademarks: Trademarks, logos, and custom artwork submitted by clients for printing remain the sole property of the client. The client warrants that it holds legitimate title and authorization to use all submitted artwork and indemnifies AOIPACK against any third-party infringement claims.
3. Quotation Boundaries & Price Validity
Due to global paper pulp fluctuations, polymer raw material indices (PE, PP, PET, PLA), ocean freight volatility, and foreign exchange movements, all price quotations are issued under the following strict parameters:
Commercial Pricing Rules
- Standard 30-Day Validity: Formal quotations and Proforma Invoices (PI) remain firm for thirty (30) calendar days from the date of issue unless explicitly stated otherwise in writing.
- Uncontracted Raw Material & Forex Adjustments: Prior to formal order locking, if Virgin Pulp prices or USD/CNY exchange rates fluctuate beyond a pre-agreed contractual threshold (standard ±3%), AOIPACK reserves the right to re-quote affected lines.
- Ocean Freight Validity: Maritime shipping rates, bunker fuel surcharges, and container slot availability quoted are indicative estimates. Ocean freight rates are finalized and locked exclusively upon confirmed booking with the carrier.
4. Order Locking & Production Scheduling Prerequisites
In accordance with our manufacturing SOP, production line capacity and raw paperboard allocation are occupied only upon completion of our Four-Point Order Lock:
- Deposit Receipt: Receipt of the agreed initial down payment (standard: 30% via wire transfer/TT to our designated export account).
- Executed PI: Receipt of the Proforma Invoice countersigned by an authorized corporate representative.
- Approved Dieline Artwork: Written sign-off on final production PDF dielines, Pantone color callouts, and UPC barcode scannability verification.
- Confirmed Packaging Checklist: Signed confirmation of outer carton specifications, palletization patterns, barcoding, and shipping marks.
Lead Time Commencement: Estimated production lead times (standard ~30 calendar days for initial runs; 20–25 days for mature repeat orders) commence on the business day following the satisfaction of all four conditions above. Oral forecasts or preliminary inquiries do not constitute production queue reservations.
5. Production Bounds, Quantities & Tooling Custody
To preserve food-grade clean workshop efficiency and high-speed machinery stability, orders are subject to established industrial minimums and manufacturing tolerances:
- Economic Run MOQ: Standard economic production runs for custom-printed paper cups, soup bowls, and takeout folding boxes are 50,000 pieces per SKU at our Ningbo main facility. Smaller runs (3,000–5,000 pcs) require custom evaluation through verified external short-run equipment.
- Malaysia Facility Specialization: Our Malaysia base produces paper cups and paper soup bowls exclusively, operating strictly under Full Container Load (FCL) orders. Multi-SKU container mixing is supported provided each included SKU satisfies its designated production minimum.
- Quantity Tolerance: Mass packaging manufacturing permits an industry-standard volume tolerance of ±5% to ±8% due to high-speed startup calibration and web trimming. Billing is reconciled against actual inspected, good-order pieces delivered on the final commercial invoice.
- Print Cylinders & Mould Ownership: Tooling, flexo plates, and thermoforming dies funded by the client remain the dedicated proprietary property of the client, held in safe custody by AOIPACK for exclusive use on the client's orders. Maintenance and storage terms are detailed in the export contract.
6. Shipping Terms, Title Transfer & US Customs Duties
Cross-border shipments are executed under codified International Commercial Terms (Incoterms 2020), explicitly defined per order:
- Applicable Incoterms: Standard shipments are contracted on FOB (Ningbo / Port Klang), CIF, or DDP terms as documented on the final Proforma Invoice.
- Risk & Title Transfer: For FOB shipments, risk of loss transfers to the buyer once cartons pass the ship's rail at the origin port. For CIF/DDP shipments, maritime transit insurance is procured in accordance with Institute Cargo Clauses (A/All Risks).
- US Customs & Tariff Classification: Import duties, Section 301 tariffs, Harbor Maintenance Fees (HMF), and Merchandise Processing Fees (MPF) are determined by the prevailing statutory regulations of U.S. Customs and Border Protection (CBP) at the date of entry. Unless contracted under a comprehensive, written fixed DDP agreement, adjustments in US tariff schedules or customs classification rulings remain the commercial responsibility of the importer of record.
7. Inspection, Quality Acceptance & Warranty
We adhere to rigorous food contact packaging standards, conducting in-line optical detection and pressure leak trials before dispatch:
- Acceptance Standard: Goods are deemed accepted based strictly on the approved signed technical specification sheet, dieline proof, and physical countersample.
- Inspection Rights: Buyers have the right to appoint certified third-party inspection agencies (e.g., SGS, Intertek, Bureau Veritas) to conduct pre-shipment random audits at our manufacturing plants prior to container stuffing.
- Defect Claims: Any claim alleging manufacturing discrepancy, dimensional mismatch, or transit dampness must be submitted in writing with photographic/video lot evidence, outer carton traceability numbers, and affected piece counts. Undamaged usable stock is handled via commercial adjustment, while non-conforming items are replaced or credited upon technical verification.
8. Force Majeure & Maritime Disclaimers
Neither party shall be held liable for failure or delay in fulfilling manufacturing or delivery obligations where such failure arises from causes beyond reasonable commercial control ("Force Majeure").
Events of Force Majeure include, but are not limited to: acts of God, typhoons, severe maritime weather, global epidemics, armed conflict, trade embargoes, statutory export/import bans, raw material embargoes, port congestion, longshoreman labor strikes, carrier vessel omissions (blank sailings), or mandatory power rationing. The affected party shall promptly notify the other in writing, providing verifiable documentation from relevant port authorities or chambers of commerce.
9. Governing Law & Dispute Resolution
These Terms of Service and any commercial sales agreements entered into hereunder shall be governed by and construed in accordance with the substantive laws applicable to international commercial contracts, excluding conflicts of law principles and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG) unless specifically agreed in writing.
Both parties agree to seek amicable resolution through good-faith commercial negotiation. In the event an amicable resolution cannot be reached within thirty (30) calendar days, disputes shall be submitted to binding arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC) or an agreed neutral international arbitration tribunal.
